Terms & Conditions

These terms govern your access to and use of Copilot Insights. Please read them carefully — by using the service you agree to them.

1. Who we are

Copilot Insights (“the Service”, “we”, “us”, “our”) is a software-as-a-service product operated by [LogiSam legal entity name], a company registered in [jurisdiction, e.g. England & Wales] under company number [company number], with its registered office at [registered address]. “LogiSam” is our trading name.

These Terms & Conditions (the “Terms”) form a binding agreement between you (“you”, “your”, the “Customer”) and us. If you use the Service on behalf of an organisation, you confirm you are authorised to bind that organisation to these Terms.

2. The Service

Copilot Insights connects to your Microsoft 365 tenant on a read-only basis to measure Microsoft 365 Copilot licence return on investment, surface adoption and reclaimable spend, and provide an inventory and governance view of the AI agents in your tenant.

  • The Service reads activity metadata and inventory only — licence assignment, usage signals and the list of agents. It never accesses the content of prompts, chats, emails or files.
  • The Service is read-only: it cannot reassign licences, alter agents, or change any setting in your tenant.
  • We may improve, add or remove features over time. We will not materially reduce core functionality of a paid plan during a paid period without notice.

3. Accounts & eligibility

You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 and legally able to enter into these Terms. You are responsible for ensuring you have authority to connect your organisation’s Microsoft 365 tenant to the Service.

4. Plans, fees & billing

  • The Free plan permits a limited, one-time read-only scan as described on our pricing page. Paid plans (Pro, Enterprise and Partner/MSP) are billed through our payment processor, Stripe.
  • Fees are stated on the pricing page and are exclusive of taxes unless stated otherwise. You authorise us (via Stripe) to charge your chosen payment method for the applicable subscription term.
  • Unless stated otherwise, subscriptions renew automatically for the same term until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period.
  • Except where required by law, fees already paid are non-refundable.

5. Acceptable use

You agree not to:

  • use the Service unlawfully or in breach of third-party rights;
  • attempt to gain unauthorised access to, disrupt, or reverse-engineer the Service or its infrastructure;
  • connect a tenant you are not authorised to connect, or use the Service to access data you have no right to access;
  • resell or provide the Service to third parties except under a Partner/MSP plan agreed with us.

6. Customer data & your Microsoft 365 connection

Customer Data” means the tenant metadata and account information processed by the Service on your behalf. As between the parties, you own your Customer Data. You grant us a limited licence to process it solely to provide and support the Service. Our handling of personal data is described in our Privacy Notice, which forms part of these Terms.

The connection to Microsoft 365 uses standard, read-only Microsoft Graph consent. You can revoke access at any time from Microsoft Entra, and you can delete your organisation and its scan data from within the Service.

7. Intellectual property

We and our licensors own all rights in the Service, including its software, design and content. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain all rights in your Customer Data.

8. Third-party services

The Service relies on third parties including Microsoft (Microsoft 365 / Microsoft Graph), Microsoft Azure (hosting) and Stripe (payments). Your use of those services is subject to their own terms, and we are not responsible for their acts or omissions.

9. Confidentiality

Each party will protect the other’s confidential information and use it only as needed to perform under these Terms, except where disclosure is required by law.

10. Warranties & disclaimers

We provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided “as is” and “as available”, and we disclaim all other warranties to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free, and Service outputs are provided for informational purposes to support — not replace — your own decisions.

11. Limitation of liability

Nothing in these Terms excludes liability that cannot be excluded by law. Subject to that, we are not liable for indirect, incidental or consequential loss, loss of profits, revenue or data, and our total aggregate liability arising out of or in connection with the Service will not exceed the fees you paid to us in the [12] months before the event giving rise to the claim.

12. Indemnification

You will indemnify us against claims arising from your unlawful use of the Service or your breach of these Terms, including any claim that you were not authorised to connect a tenant or process the data you connected.

13. Term & termination

These Terms apply while you use the Service. Either party may terminate for material breach not remedied within a reasonable period. On termination your right to use the Service ends; you may export or delete your data as described in the Service and Privacy Notice, after which we will delete or anonymise Customer Data in line with our retention practices.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will take reasonable steps to notify you. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing law & jurisdiction

These Terms are governed by the laws of [jurisdiction, e.g. England & Wales], and the courts of [jurisdiction] have exclusive jurisdiction, except where mandatory local law provides otherwise.
